Join us for a 90-minute presentation on insurance and indemnity provisions frequently encountered when negotiating commercial contracts. The seminar will provide an insurance primer on the types of insurance coverage frequently required in commercial contracts, contractual requirements evidencing insurance, and the importance of coordinating indemnity and insurance contractual provisions with a company's insurance coverage. The seminar will also provide a broad overview of critical contractual indemnity provisions, and will address the general limits to enforceability of contract indemnity, drafting indemnity provisions to allocate responsibility for third-party claims arising out contract performance, the interrelationship between indemnity provisions, and other contract terms involving procurement of insurance and limitations on recoverable damages.
This course is pending approval by the Alabama State Bar for one hour of CLE credit.
