Protecting Purchases in the Pandemic: Acquisition Due Diligence in the COVID Era
Association of Corporate Counsel (ACC) Tampa Bay
One of the many effects of the pandemic shows that – despite the economic uncertainty – deal volume has not dropped significantly and companies ripe for acquisition are now more available. Some entities are now seeking to turn disaster into opportunity by entering the acquisition market. However, buyers must practice careful due diligence. M&A deals are complex in any environment, and the heightened regulatory issues in the COVID era are complicated.
This program will focus on:
- Key regulatory considerations in evaluating potential deals
- How the CARES Act and Paycheck Protection Program (PPP) factors into M&A deals
- Cybersecurity and technology factors affecting deals in a remote environment
Bradley Arant Boult Cummings LLP partners Elizabeth Boone and Jason Mehta will present. Elizabeth advises clients on business transactions and compliance matters domestically and internationally, including private entity mergers, acquisitions and divestitures. Jason is a former DOJ prosecutor who now handles complex criminal and civil fraud matters, internal investigations, and bet-the-company litigation. Jason is also at the forefront of advising companies and individuals about the risks associated with the receipt of funds pursuant to the CARES Act.
*This presentation is for ACC Tampa Bay members only.
