      Represented bank lender in workout discussions and ultimately foreclosure and collection proceedings against mixed-use $10 million residential/commercial property, including repurchase of loan participation from FDIC and evaluation of redemption/foreclosure options to help client maximize recovery and minimize likelihood of owner redemption of property.

      Guidance for Mortgage Company Clients Regarding New Loan Originator Compensation Rules
      Represented mortgage lenders in establishing new policies, procedures, and employment arrangements (including drafting and advising on employment agreements) to implement the loan originator compensation requirements under the Dodd-Frank Act and the new CFPB regulations.

      Representation of community bank in connection with Regulatory Enforcement Order, including negotiation of agreement terms with federal and state regulators and advising board of directors.

      Representation of Lender in $50,000,000 Commercial Lending Facility
      Represented bank in connection with loan to commercial borrower secured by inventory, accounts, and equipment, together with real estate mortgage on plant and manufacturing facilities. The facility included revolving loans, term loans, and letters of credit, and is structured for syndication and sale to other bank lenders.

      Zoning and Land Use Guidance
      Represented a national company with multiple industrial sites across the southeastern United States in reviewing zoning and land use issues pertaining to permissibility of on-site activities. Worked on approaches to permit continuation of potentially non-conforming uses.
