      Represented letter of credit banks in remarketing strategies for tendered variable-rate demand bonds.

      Workout and restructuring transactions
      Represented lenders and borrowers in workout and restructuring transactions, and evaluating documentation issues pertaining to downgraded credits and advising and assisting on various corrective steps.

      Commercial Lending - Secured by Aircraft Collateral
      Represented bank lenders on loans to borrowers for the purchase of aircraft, including loan documentation, filings with FAA and review of aircraft leasing arrangements

      Foreclosure and Collection Activities on Mixed Residential and Commercial Development
      Represented bank lender in workout discussions and ultimately foreclosure and collection proceedings against mixed-use $10 million residential/commercial property, including repurchase of loan participation from FDIC and evaluation of redemption/foreclosure options to help client maximize recovery and minimize likelihood of owner redemption of property.

      Guidance for Mortgage Company Clients Regarding New Loan Originator Compensation Rules
      Represented mortgage lenders in establishing new policies, procedures, and employment arrangements (including drafting and advising on employment agreements) to implement the loan originator compensation requirements under the Dodd-Frank Act and the new CFPB regulations.

      Representation of Community Bank
      Representation of community bank in connection with Regulatory Enforcement Order, including negotiation of agreement terms with federal and state regulators and advising board of directors.

      Representation of Lender in $50,000,000 Commercial Lending Facility
      Represented bank in connection with loan to commercial borrower secured by inventory, accounts, and equipment, together with real estate mortgage on plant and manufacturing facilities. The facility included revolving loans, term loans, and letters of credit, and is structured for syndication and sale to other bank lenders.

      Zoning and Land Use Guidance
      Represented a national company with multiple industrial sites across the southeastern United States in reviewing zoning and land use issues pertaining to permissibility of on-site activities. Worked on approaches to permit continuation of potentially non-conforming uses.

      Sale of Steel City Crane to Barnhart Crane and Rigging
      Represented Steel City Crane, a provider of operated crane services to industrial clients throughout the southeastern United States, in its sale to Barnhart Crane and Rigging.

      Private Placement for Graham Commercial Properties, LLC
      Advised Graham Commercial Properties, LLC in its secondary offering of membership units in a private placement and the conversion of mezzanine debt into membership units
