Dorothy Pak’s extensive experience advising public and private companies in general business matters enables her to provide a broad perspective and a deep understanding to clients operating in a highly regulated environment. She regularly represents businesses ranging from healthcare companies to bank holding companies to manufacturers in matters involving complex transactional and regulatory issues. She has successfully guided clients through stock offerings, mergers and acquisitions, syndications, joint ventures, internal restructurings and financing transactions.

Representative transactions in which Dorothy played an integral role include:

  • Representing ServisFirst Bancshares, Inc. in the registration of its common stock in connection with its acquisition of Metro Bancshares, Inc. for total consideration in stock and cash of approximately $42 million

  • Advising Surgical Care Affiliates, Inc. in its $270 million initial public offering

  • Representing Parish National Corporation in its sale to Whitney Holding Corporation in a transaction valued at approximately $165 million

  • Serving as counsel to Wachovia Bank in the sale of branches representing a total of $600 million in deposits to R-G Crown Bank

  • Advising Regions Financial Corporation in the sale of Morgan Keegan & Company, Inc. to Raymond James, Inc. for approximately $900 million, including divestiture of a securities-based lending portfolio by Regions Bank to Raymond James Bank, N.A., of an aggregate loan portfolio of approximately $185 million and total commitment of approximately $400 million 

In addition to her corporate and securities work, Dorothy maintains a healthcare practice and is heavily involved in economic development matters, representing businesses locating in Alabama in connection with the negotiation of incentives and the implementation of economic development projects.
