Mike has represented clients in a wide range of transactional matters across the country, from the State of Washington to the southern reaches of Florida, from New England to Southern California. While the majority of those transactions have involved long term care and senior housing facilities, Mike has also handled transactions in the hospitality and manufacturing industries. As to operational and regulatory matters, Mike’s practice has similar geographic and industry breadth. In his Certificate of Need practice, Mike has successfully assisted various types of providers in pursuing all types of CONs before the Tennessee Health Services and Development Agency, including new hospitals and other healthcare facilities, additional beds for existing operations, new healthcare services and/or equipment, relocations and replacements of healthcare facilities and services (partial and “whole campus”), and major renovations of existing buildings.
Representative Experience
    • Sales, mergers, financings and reorganizations of national and regional long term care providers
      Assisted with real estate and regulatory matters in connection with sales, mergers, leasings, financings and reorganizations involving numerous national and regional long term care and senior housing providers.

      Transfers of facilities
      Served as counsel to buyers, sellers, lessors, lessees and managers in the transfer of numerous healthcare facilities, both in single asset and multi-facility transactions, including specialty hospitals, long term care and senior housing facilities, dialysis facilities, and ambulatory surgery facilities.

      Financings/Leasings of facilities
      Served as counsel to borrowers and lenders in numerous healthcare financings, both in single asset and multi-facility transactions, including bond financings, REIT leases, HUD financings, commercial loans, seller financings, accounts receivable financings and private equity transactions.

      Licensure and certification
      Assisted numerous buyers, sellers, lessors, lessees and managers in the healthcare "change of ownership" process, including state licensure and Medicare/Medicaid certification.

      Certificate of Need
      Served as counsel to applicants and opponents in dozens of Certificate of Need (CON) engagements, including specialty hospitals, long term care facilities, diagnostic facilities, and ambulatory surgery facilities (drafting, filing and presenting CON applications, advocating for clients at CON hearings, counseling clients on structuring business arrangements and transactions to avoid the need for a CON, and drafting and obtaining the introduction and passage of special purpose legislation that allowed certain skilled nursing facilities to partition existing large facilities into components).

      Ancillary services
      Served as counsel to healthcare providers moving into other service areas, such as pharmacy, home health and hospice.

      System affiliation
      Served as counsel to a large continuing care retirement community in structuring and completing an affiliation with a nationally prominent medical center.

      Compliance and investigations
      Served as counsel to numerous healthcare providers in challenging various regulatory allegations of non-compliance, at both the state and federal level, including related investigations, and seeking federal court injunctions to prevent the decertification of facilities.

      Risk management
      Counseled numerous clients on risk management issues, including the use of captive insurance providers, with a recent emphasis on the physical security requirements of client campuses and the development of policies related to campus security matters.
