    • Counsel to one of the largest e-commerce companies in the US
      Counsel to the largest e-commerce company in the world in locating a second headquarters in Crystal City, Arlington, Virginia. The team successfully negotiated the project agreement and the related incentive package with the State of Virginia and local governments. We also provided counsel with respect to real estate, labor and employment, choice of entity and state and local tax issues. In 2018, the second headquarters project for the e-commerce company was named “Deal of the Year” in numerous economic development publications.

      Counsel to Shaw Industries
      Represented Shaw Industries in a $250 million expansion of their Andalusia facility. The project included construction for the expansion, installation of new equipment, and improvements in ergonomics, safety and energy efficiency. Assisted Shaw in negotiating a comprehensive incentives package with the state, county and city.

      Counsel to Warrior Met Coal
      Counseled Warrior Met Coal on the nearly $90 million expansion of the Tuscaloosa County No. 4 mine. The team successfully negotiated a tax abatement incentives package for the Tuscaloosa County-based mining concern, which produces metallurgical coal for the steel industry. 

      Counsel to Truck & Wheel Group
      Counsel to Spanish automotive supplier Truck & Wheel Group in locating a $30 million tire and wheel assembly facility in Tuscaloosa County, Alabama, their first facility in the U.S. The facility is one of the most technologically advanced assembly facilities of its kind in the world. The team negotiated the incentives package and provided counsel with respect to real estate, corporate, construction, choice of entity and state and local tax issues. The plant is expected to bring more than 70 jobs to the Tuscaloosa area.

      Counsel to Rex Lumber
      Counsel to Rex Lumber to locate a $110 million state-of-the-art lumber manufacturing operation in Pike County, Alabama. The project is expected to create approximately 100 competitive-wage jobs with an estimated annual production 240 million board feet. The team successfully assisted in negotiating the incentives package and provided counsel with respect to real estate, corporate, choice of entity and state and local tax issues. Rex Lumber ranks among the 10 largest softwood lumber producers in the United States.

      Counsel to Hyundai Heavy Industries for $90 Million Manufacturing Plant
      Counsel to Hyundai Heavy Industries and its subsidiary Hyundai Electric Systems Alabama, Inc., in locating a $90 million manufacturing plant to Montgomery, Alabama, their first manufacturing facility in North America. The team successfully negotiated the project agreement, as well as the incentives package, with the State of Alabama and the local governments and provided counsel with respect to real estate, corporate, construction, labor and employment, choice of entity and state and local tax issues.

      Counsel to POSCO American Corporation in locating a $19 million steel facility in Alabama
      We successfully negotiated a tax incentive package with county government and subsequently represented the company in real estate, construction, labor and employment and state and local tax issues.

      Counsel to Pack Health
      Counsel to Pack Health in locating the start-up’s new headquarters in downtown Birmingham, Alabama. Pack Health is a new and innovative digital health coaching platform for chronic disease management that partners with industry leaders— including insurance companies, employers, health systems, manufacturers, and nonprofit associations— to help individuals with 20+ chronic conditions build healthy habits, navigate the healthcare system, and achieve better health outcomes. Successfully negotiated the state and local incentives package that will locate approximately 175 employees over four years at the new headquarters on First Avenue North.

      Counsel to TW Fitting NA from 2003 to the present
      Successfully negotiated an incentives package and all other associated agreements with the State of Alabama and local governments to locate a Mercedes-Benz parts manufacturer in Tuscaloosa County, Alabama.

      Counsel to HYSCO
      Representation of HYSCO, a Korean-based steel parts supplier to Hyundai Motor Manufacturing and Kia Motor Manufacturing for their $28M facility expansion in Greenville, Alabama. We provided representation in securing statutory and non statutory incentive for the 174,000 square foot project.

      Counsel to Hyundai Motor Manufacturing Alabama LLC and Suppliers
      Counsel to Hyundai Motor Manufacturing Alabama, MOBIS Alabama and other Tier 1 automotive supply companies in the negotiation of incentives and the implementation of economic development projects in Alabama.

      Counsel to North American Lighting
      Counsel to North American Lighting in connection with its location of a $21 million automotive lighting manufacturing facility in the Muscle Shoals area, including negotiation of a project agreement with the State and the local governments.

      Counsel to POSCO AAPC LLC
      Counsel to POSCO America Corporation and POSCO AAPC, LLC in connection with its location of a $19 million steel coil slitting facility in Jefferson County, Alabama. Negotiated with the County and the industrial development authority to acquire real estate and grant incentives.

      Infrastructure Grant and TIRA Abatements for Manufacturer (March 2012)
      Assisted aluminum smelting and recycling facility in obtaining grant for certain infrastructure improvements to project site and statutory tax abatements from the City of Bessemer.

      Sales Tax Sharing for Retail Distribution (December 2011)
      Assisted furniture retailer with the relocation of its distribution center and in obtaining grant based on the increased sales tax revenues to the municipality and other incentives.

      TIRA Abatements / Capital Credit for Manufacturer (November 2011)
      Assisted automobile parts manufacture in obtaining statutory tax abatements from the Tuscaloosa County Industrial Development Authority and in applying for capital income tax credits with the Alabama Department of Revenue.

      Corporate Relocation

      Counsel to VF Sportswear, Inc., an apparel company with numerous recognizable brands such as Nautica and Kipling, in relocating its corporate headquarters from Manhattan to Jersey City, New Jersey.
      Approximately 160 employees, earning an average annual base compensation of more than $92,500, will be relocated. The team successfully negotiated the incentive package with the State of New Jersey and the local governments and provided counsel with respect to environmental, labor and employment, real estate, construction, corporate, and state and local tax issues.

      Counsel to Commercial Jet Services, LLC
      Counsel to Commercial Jet Services, LLC in locating a $12 million aircraft MRO facility to Dothan in 2013. At full production, the facility will employ approximately 500 people. The team successfully negotiated a project agreement with the State of Alabama and the local governments and provided counsel with respect to workforce development, state and local tax issues, corporate, and real estate.

      Counsel to Cummings Aerospace, Inc.
      Counsel to Cummings Aerospace, Inc. in 2014 in negotiating the project's tax incentives, government contracting needs, real estate planning, and state and local tax issues for the $17 million expansion of its aerospace and defense service business. The project will create approximately 200 new engineering jobs.

      Counsel to Qualitest Pharmaceuticals
      Counsel to Qualitest Pharmaceuticals in securing statutory incentives for its $43 million pharmaceutical manufacturing and distribution facility expansion in Huntsville in 2013.

      Counsel to Tesla Motors, Inc.
      Counsel to Tesla Motors, Inc., an electric automobile manufacturer, in locating a lithium ion battery manufacturing facility to Storey County, Nevada. The Gigafactory will cost $5 billion to construct and equip and another $5 billion will be invested during the first 10 years of operations. At full production, the Gigafactory will employ approximately 6,500 people. The team successfully negotiated the incentive package with the State of Nevada and the local governments and provided counsel with respect to real estate, corporate, construction, choice of entity and state and local tax issues.

      Counsel to Walter Energy, Inc.
      Counsel to Walter Energy, Inc. in 2012 for its plans to develop a $1.2 billion underground metallurgical coal mine in Tuscaloosa County that will create approximately 450 new jobs. The project will also include a barge load-out facility in Walker County, a rail spur in Fayette County, and a coal terminal to be located at the Port of Mobile.

      Economic Development

      • Represented one of the largest solar owner/operator and EPC firms in the Southeast on real estate and tax incentive matters related to the development of a 20 MW solar project in Georgia and negotiated the sale of the same project to a major investor-owned utility.
      • Negotiated and drafted Tennessee’s first-ever payment in lieu of tax transactions for solar projects.

      Represented the company in a transaction which resulted in a substantial investment in the company by a third-party. Counsel to the company in on-going strategic decisions and contract matters.

      Incentives counsel to one of the largest homebuilders in the United States in relocating its corporate headquarters from Detroit to Atlanta.

      Represented the company in entity formation, employment and contract matters.

      Simplified Logistic Solutions, LLC
      Represented the company in contract review and enforcement, choice of entity issues, intellectual property development and protection, and employment matters.

      Structuring Incentives
      Counsel to CBC INGS America from 2013 to the present, successfully negotiated the incentives package and all other associated agreements with the State of Alabama and local governments to locate a $30 million automotive plant in Lauderdale County, Alabama with 125 employees. The team also provided counsel with respect to real estate, corporate, construction, and state and local tax issues.

      Structuring Incentives
      Counsel to REHAU Incorporated in negotiating and structuring separate incentive packages with Cullman, Alabama in 2013 and 2014 for a $120 million automotive parts manufacturing plant expansion that will create 250 new jobs and a $1.8 million technical center that will create 160 additional jobs. The team also provided counsel with respect to real estate, corporate and state and local tax issues

      Tax Incentives
      Counsel to Carpenter Technology Corporation in 2012, successfully negotiating the incentives package and all other associated agreements with the State of Alabama and local governments to locate a $500 million steel manufacturing plant in Limestone County with 200 employees, as well as the recent 2014 $20 million expansion of the same.

      Tesla Motors, Inc.
      Counsel to Tesla Motors, Inc., an electric automobile manufacturer, in locating a lithium ion battery manufacturing facility to Storey County, Nevada. The Gigafactory will cost $5 billion to construct and equip and another $5 billion will be invested during the first 10 years of operations.

      Incentives counsel to Volkswagen Group of America for its $600 million expansion of the Volkswagen Chattanooga manufacturing plant. The project will add 2,000 jobs to the plant. This project was also named a “Top 10 Deal” for 2014 by Site Selection magazine.

      Advised the company in a substantial commercial real estate acquisition on an extremely tight schedule.
