David Sheinbein and Amy Moss Honored Among Mergers & Acquisitions 2025 Middle-Market Deals of the Year
Bradley attorneys David Sheinbein and Amy Moss were part of a team honored in the 18th Annual Mid-Market M&A Awards. The list of 2025 Middle-Market Deals of the Year highlights deals that are notable for their innovation and the obstacles they successfully navigated.
Mr. Sheinbein served as lead counsel for the sellers in a $462 million cross-border transaction involving the sale of two affiliated companies — Amran, Inc. (U.S.) and Narayan Powertech Pvt. Ltd. (India) — to Standex International Corporation, a publicly traded U.S. manufacturer of advanced sensor and power magnetic technologies. Standex serves critical sectors, including renewable energy, telecommunications, and scientific research. The acquisition of Amran and Narayan was the largest in Standex's history, significantly expanding its product range and international footprint and immediately enhancing Standex’s capabilities and competitive position in valuable global industrial markets.
Mr. Sheinbein advised on initial bids, deal structuring, and due diligence to closing and post-closing matters, while Ms. Moss was focused on the public company buyer securities and disclosure issues, advising on various securities laws issues related to the rollover equity, disclosure considerations, as well as assisting with drafting contracts. Mr. Sheinbein helped the “first-time sellers” navigate everything from cross-border compliance to combining U.S. and Indian financials. The deal navigated intricate and layered operational, strategic, and cross-border regulatory challenges, including coordinating the seller transactions across jurisdictions — Houston, Texas, and Gujarat, India — with similar yet distinct ownership structures.
The legal and logistical complexities included structuring efficient, parallel deals for two ownership groups and complying with U.S. public company regulations — U.S. and India transactions had to close simultaneously to protect confidentiality and comply with regulatory requirements. Further, because of the transaction's size, the Federal Trade Commission and the Department of Justice required antitrust filings, which added another regulatory layer.
