David Sheinbein is a nationally recognized M&A attorney who has closed more than $1 billion in transactions across a broad range of industries and deal structures. He helps clients navigate complex transactions with practical, value-oriented legal and business advice.

David represents private and public middle-market and large companies in mergers and acquisitions, divestitures, strategic investments, recapitalizations, and commercial finance transactions, and he advises buyers, sellers, borrowers, and lenders alike. He also serves as outside general counsel to companies and management teams on corporate strategy, governance, risk management, and day-to-day business matters.

Based in Texas, David has deep experience in manufacturing, energy, real estate, metals and alloys, and financial services. He regularly counsels management teams, boards, investors, family offices, and in-house legal departments on transaction execution, risk allocation, and negotiation strategy.

David combines sophisticated legal counsel with strong commercial instincts and practical business judgment. He is a trusted advisor in transactions involving operational complexity, distressed or special situations, and challenging negotiations. His hands-on fluency spans data privacy, IP portfolio management, executive compensation, SEC reporting, SOX compliance, corporate governance, and public company operations. He is a frequent speaker on M&A market trends, transaction structuring, and purchase and sale agreement terms.

Known for his low-ego, high-output approach, David has demonstrated the ability to mentor junior attorneys and business stakeholders. At his previous firm, he served as both practice group leader and a member of the firm's board of directors.
