Jeff Harvey represents public and private companies, investors, family offices, private equity firms, and venture capital funds operating or investing in startup through upper middle-market businesses and heads up the firm’s General Counsel Services team.
Jeff represents companies and their owners, boards, management teams and financial partners across industries concerning entity structuring and formation, compliance and governance, public and private securities filings and reporting, technology transactions and licensing, M&A and joint ventures, private equity and venture investment, international business operations, global supply chain management, franchising, dealership and distribution, real estate and equipment leasing, among other matters and concerns. He provides strategic advice and counsel for transactions and throughout the life cycle of a business or investment.
Having served in-house as general counsel to three global organizations, Jeff regularly serves as outside general counsel to privately held businesses and provides guidance to general counsel, law departments, and executive leadership concerning legal and compliance operations and best practices. With almost two decades experience in-house, he integrates with business clients and management teams to identify key legal risks and opportunities and assembles client service teams from Bradley’s practice and subject-matter teams to provide comprehensive general counsel support for corporate, compliance, contracts, employment, trademark and branding, patent and trade secret protection, real estate, supply chain and import/tariff management, sales and distribution, government relations and regulatory issues specific to each client.
For owners, investors, and families, Jeff acts as a legal confidant and advisor concerning asset holding and family office structures, investment and acquisition/divestiture transactions, succession planning and execution, and estate administration. He partners with Bradley’s estate planning, wealth management, tax, and other practitioners to formulate and administer multi-generational plans to optimize succession, tax, and liability protection concerns.
For private equity and venture capital firms, Jeff provides advice and transaction representation for fund and private investment, debt financing, platform and add-on acquisition and integration, accelerated growth strategies, joint venture partnership, and exit/liquidation options. He also counsels firms concerning governance and regulatory compliance alignment across portfolios and assists their portfolio companies in developing policies, procedures and practices relevant the unique business and industry while consistent with portfolio specifications.
Jeff increasingly represents investors targeting real estate, facilities, software services and other opportunities in the hyper-emerging youth and school sports space, as well as athletes, schools, collectives, and licensing agents with respect to name, image and likeness (NIL) and other sponsorship, brand licensing, and product placement initiatives.
