      Advised Bayer Properties and its principals and subsidiaries regarding the formation and capitalization of a group of entities to redevelop the Pizitz Building (Birmingham, AL) through a combination of equity, debt and tax credit investments.

      Recapitalization of Saiia Construction
      Represented Saiia Construction, LLC, a premier site construction and civil maintenance provider, in the sale of a controlling interest to an affiliate of Insight Equity, a private equity firm based in Dallas, Texas.

      Southern Pipe & Supply
      This consists of representing the client in multiple corporate acquisitions as well as financial matters and general advice regarding tax matters, structure and estate planning for the family that owns Southern Pipe.

      Southland Tube
      Representing the families that own Southland Tube as a closely held corporation in its sale to Nucor, a publicly held company.

      Crowne Partners
      Advice regarding formation of various corporate structures designed to facilitate management and operation of the business including corporate, tax planning, general business planning and estate planning for family owners. This company has engaged in syndication of major apartment projects throughout the United States and representation includes designing structures and working in connection with these.

      Clayton Management/Creed
      These companies are owned by the Clayton family and representation includes advising the families with respect to corporate structure, tax planning and estate planning in connection with investment funds, real estate projects and more recently in connection with syndicated apartment complexes in proximity to various college campuses.

      Miburo
      Sale by owners of a closely held company to Microsoft.

      Molpus Woodlands Group
      Structuring of transaction between family owners with respect to the ownership of the company; representation in connection with formation and development of various timber management funds and various other corporate transactions related to Molpus, the Molpus family and an employee owed equity investor.

      Bermco
      Representation of sellers of Bermco (aluminum company) to Toyota. This included counseling the two families who previously owned Bermco prior to the Toyota sale and negotiating the transaction.

      Montgomery Transportation
      This included representing the owner’s closely held companies which were sold to a private equity firm. This consisted of the sale of several logistic and transportation companies in a complex transaction, with the owner rolling over a substantial investment in the surviving company.

      City Produce of Ft. Walton
      Represented a family entity and family trust that owned City Produce in connection with its sale to a private equity firm.

      Pursell Agri-Tech
      Representation includes recommendations as to the structure and formation of the company and advice and representation in connection with various fund raising to provide equity for the company along with the formation of a complex joint venture agreement in Canada. This company has patent protected technology used for processing coated fertilizer for distribution to various users including urban and rural agricultural users. This representation also included the negotiation and formalizing an investment by an international agricultural group based in Holland which is a major equity investor in Pursell Agri-Tech.

      Bomont Group
      This representation included formation of an insurance brokerage company primarily engaged in insuring clients engaged in the transportation and various other industries. 

      Imedequip
      Representation of this company includes advising this closely held business with respect to tax and corporate planning. Representation also involves representing the client in connection with various acquisitions of other medical equipment companies and representation of the company in connection with equity and debt investment by a major family office investor.
