Kelsi Long’s practice is focused on transactional matters involving corporate and securities and energy (including renewable energy). She routinely advises clients on corporate formation, strategic acquisitions, and compliance with securities laws and regulations, and guides clients through due diligence and contract negotiations.
Kelsi has experience across a broad range of energy transactions (inclusive of renewable energy), including drafting and negotiating EPC agreements, asset management agreements, supply agreements, long-term maintenance agreements, and a wide range of other energy agreements supporting project development, construction, operations, and offtake.
Kelsi works closely with clients’ legal and business teams to support day-to-day commercial contracting and governance, and she counsels clients during private placements and securities issuances by preparing associated filings and investor disclosures. She also handles mergers and acquisitions, general corporate counseling, and stockholder arrangements, and manages due diligence for complex transactions. Kelsi enjoys crafting practical, creative solutions to complex transactional challenges and helping businesses anticipate and plan for evolving regulatory requirements.
