Stuart Maxey has significant experience in middle-market M&A transactions, particularly transactions involving private equity firms. He is known for finding creative solutions to get deals closed. Clients find that Stuart’s CPA background is valuable in connection with deal structuring and in handling complex purchase price adjustments and earn-outs.

Stuart serves as outside general counsel to numerous private equity portfolio companies and family-owned businesses. He has participated in over 100 M&A transactions domestically and internationally. His experience includes transactions in the following sectors: telecommunications, software, heavy manufacturing, banking, insurance brokerage, wealth management, mortgage brokerage, behavioral health, hospice, nutritional supplements, electronic health records, education, industrial chemicals, transportation, equipment leasing, craft brewing, waste disposal, recycling, commercial landscaping, multi-unit restaurants and mining.

Stuart represents several fund managers, investment managers and family offices with respect to investment adviser compliance. In addition, he has significant experience forming real estate funds, funds-of-funds, private equity funds and other similar pooled investment vehicles. He also regularly assists clients with capital raises.

Stuart serves as head of Bradley’s Private Equity team and chair of Marketing and Business Development for the firm. He serves on the Board of Trustees of the Alabama Ballet and the Board of Trustees of the Patterson School of Accountancy at the University of Mississippi. In 2016, Stuart was the recipient of the M&A Advisor’s “Emerging Leader” award.

  • Represented private equity-backed telecommunications company in strategic acquisition of competitor owned by $2 billion private equity firm and in strategic acquisition of publicly traded competitor in a going-private transaction.
  • Represented largest and second largest private equity firms in Alabama in connection with numerous platform acquisitions, add-ons, sale transactions and general corporate matters.
  • Represented manufacturing conglomerate in cross-border strategic acquisitions of technology companies located in Canada, Chile and South Korea.

  • Represented McKinney Communications Corporation in leveraged ESOP transaction.
