Derek Terry counsels clients in commercial real estate and finance transactions, with a focus on the financing, leasing, and acquisition of a variety of commercial real estate asset classes, including long term care and senior housing facilities, multifamily housing, and other healthcare facilities and properties. Derek assists with corporate due diligence and drafting and negotiating loan agreements and related documents to and through closing. His experience includes negotiating complex financing arrangements for mezzanine loans, revolving working capital lines of credit, intercreditor arrangements, warehouse lines of credit, syndicated credit facilities, and participations.
Additionally, Derek helps clients navigate mergers and acquisitions, capital raising, securities law compliance, and commercial contracting matters. He enjoys working with clients in all phases of growth, from emerging startups to multinational corporations. Derek assists clients in a range of sectors, including real estate, financial services, manufacturing, and transportation.
Derek’s corporate practice experience includes transactional advising, closing, and negotiation, corporate governance, due diligence, drafting and reviewing a wide range of contracts, and Securities and Exchange Commission (SEC) filings.
