Represented an ambulatory surgical care client and its affiliate in connection with the acquisition of an endoscopy group that owns and operates more than 60 surgery centers focusing on gastrointestinal procedures, as well as associated medical practices and related businesses. Our team handled the transactional and regulatory aspects of the transaction from start to finish. Acquisition of Hospital and Affiliates Acquisition of Baptist Hospital and affiliates by St. Thomas Hospital . Represented Ascension affiliate St. Thomas Hospital in connection with its acquisition of the Baptist system to form Saint Thomas Health, a five hospital system operating many surgery centers, imaging centers, and physician practices in the Middle Tennessee area. Representation of Major National Chain in Joint Venture Creation of surgery center venture with non-profit System in eastern North Carolina. Represented major national chain of surgery centers in connection with developing a joint venture structure for the operation of surgery centers with a regionally dominant non-profit health system. Representation of Hospitals in PHO & IPO Matters Ongoing representation of various hospitals in connection with multiple PHO and IPO matters, including restructuring designed to reduce operating risk. Advisor to HealthSouth in Sale of Hospitals Advised HealthSouth Corporation in connection with the sale of six long term acute care hospitals for a price of approximately $120 million. Negotiation and leasing of multiple operations for long term care provider Represented a regional long term care provider in the leasing of a package of 12 facilities, including the negotiation of the lease with a REIT, the negotiation of operations transfer agreements with the previous operator, the negotiation of working capital financing with a commercial lender, and overseeing the regulatory approvals related to the transaction. Acquisition of Arizona surgical hospital by national operator of ambulatory surgery centers and surgical hospitals Represented publicly-traded owner and operator of ambulatory surgery centers and surgical hospitals in its acquisition of a surgical hospital out of Chapter 11 bankruptcy and simultaneous sale of minority interest to physician group
