Fresenius Medical Care North America Represented Fresenius Medical Care North America in connection with its acquisition of Liberty Dialysis Holdings Inc. for $2.1 billion. OS1 Holdings, Inc. Represented management services organization focused on orthopedic urgent care in its Series Seed and Series A investment rounds. Retinal Imaging Systems Represented provider of cloud-based diagnostic imaging solutions in convertible note, Series A and Series A-1 investment rounds. Represented a nonprofit healthcare system in the sale of two hospitals and an outpatient rehabilitation and therapy center to a private equity-sponsored hospital system in a transaction representing a capital investment in excess of $400 million. Represented two municipal bodies in the sale of a regional referral center to a non-profit healthcare system for a purchase price in excess of $60 million and a commitment to construct a $250 million replacement facility. Represented a regional healthcare system in a series of transactions to acquire multiple physician-owned hospitals. Served as lead transactional and regulatory counsel on the acquisitions of numerous physician practices on behalf of private equity sponsors and their physician practice management companies.
