Represented a lender in the closing of an aggregate $611 million in credit facilities, consisting of a senior mortgage loan, mezzanine loan and multiple revolving credit facilities, for the refinance of debt related to 53 healthcare facilities (assisted living, skilled nursing and independent living) across four states. Represented a lender in the closing of a $188 million loan portfolio for the acquisition of 10 skilled nursing facilities. Represented a lender in the closing of a $71.5 million loan portfolio for the acquisition of seven skilled nursing facilities.  Represented a lender in the closing of an aggregate $62 million in credit facilities for the refinance of debt related to five skilled nursing facilities.  Represented the lender in the closing of a $61.5 million loan portfolio for the acquisition of nine skilled nursing facilities in Utah. Term and revolving loan transaction involved a Utah UPL/IGT component on an aggressive timeline, as well as a number of complex regulatory issues in the healthcare lending space. Represented a lender in the closing of a $56.5 million loan portfolio for the acquisition of three independent living and assisted living facilities.  Represented a lender in the closing of a $15.5 million loan portfolio for the acquisition of two skilled nursing facilities.  Represented agent and lender in the closing of a $13.1 million loan for the acquisition of an assisted living and memory care facility.  Represented a lender in the closing of a $5.8 million loan for the acquisition of an assisted living and memory care facility.  Extensive experience representing and advising agents and lenders in various types of commercial loan transactions. Experience representing lenders in connection with closing working capital loans for healthcare facilities with underlying HUD-insured mortgage debt. Experience advising companies with respect to a wide range of corporate matters, including organization and incorporation, financings and mergers and acquisitions.
