Bradley Represents Emalex Biosciences in its Acquisition by Teva Pharmaceuticals

Bradley Partners Greg Hidalgo and Patrick Everman recently led a team of attorneys in the representation of Paragon Biosciences Emalex Capital, Inc. (“Emalex”) in its acquisition by Teva Pharmaceutical Industries, Ltd., which closed on June 10, 2026.

Additional members of the core Bradley team included partners Erin Reeves McGinnis and Cyrus Chin, and associate Marino Leone. Additional subject matter support was provided by partners Mike Denniston, Marc Bussone, Jake Neu, Eric Setterlund, Jennifer Trulock, and Mike Wilson, and associates Nic Briscoe and Brett Lawrence. 

At closing, Teva paid $700 million in upfront cash consideration, and Emalex securityholders are also eligible to receive up to an additional $200 million in commercial milestone payments, plus net sales-based royalties upon commercialization of ecopipam, subject to regulatory approval.

Emalex was formed to develop new treatments for central nervous system disorders and other conditions with limited treatment options. Emalex's lead asset, ecopipam, is a first-in-class investigational therapy for the treatment of pediatric patients with Tourette syndrome. Ecopipam has received Orphan Drug and Fast Track designations from the FDA, reflecting the significant unmet medical need in this patient population.
